HAMASDEGH ARMENIAN SCHOOL PARENT TEACHERS ASSOCIATION BYLAWS
ARTICLE I: GENERAL
SECTION 1: THE ASSOCIATION
The Association known as "The Hamasdegh Armenian School Parents-Teachers Association" (PTA) is a non-profit educational organization formed to enhance the academic, social and spiritual development of the children attending the Hamasdegh Armenian School, both in the classroom and through activities outside the classroom which are of educational value.
SECTION 2: GOALS AND OBJECTIVES
The goals and objectives of the Association are as follows:
a) to facilitate communication among and between the parents, teachers, and the Administration of the Hamasdegh Armenian School;
b) to provide support to the school administration and teachers in all aspects of the management, and operation of the school, and the school sponsored programs;
c) to organize, and carry out fund-raising activities to ensure the financial self-sufficiency of the school.
SECTION 3: ELIGIBILITY FOR MEMBERSHIP
Membership in the Association is open to all dues-paying parents or legal guardians of children enrolled in or attending the school and faculty (teachers and office staff) of Hamasdegh Armenian School.
SECTION 4: MEMBERSHIP DUES
The annual membership dues per family, for the academic year starting in September and ending in June, is established by the Board of Directors (BOD) after consultation with the School Administration.
The membership dues are collected at the beginning of the academic year in September and are meant to make the Association financially self sufficient to carry out its objectives and activities.
ARTICLE II: MEMBERSHIP, RESPONSIBILITIES & MEETINGS
SECTION 5: MEMBERSHIP RESPONSIBILITIES
Each member is expected
a) to participate in the membership meetings, is encouraged to serve the association as an elected officer of the Board of Directors and is expected to participate in School sponsored activities or programs, as required.
b) to voice opinions,and propose suggestions,in a constructive manner which will enable the Association to achieve its stated objectives.
c) to strive for bringing about the coordination and cooperation of all efforts needed that benefit the school and the students.
SECTION 6: MEMBERSHIP MEETINGS
General Membership meetings will be held twice annually:
a) the first General Membership meeting should be scheduled for the first Sunday in November during which the Board of Directors will present its program of proposed activities, after consultation with the School Administration.
b) the second General Membership meeting should take place the third Sunday in May for the purpose of presentation of annual reports by the Chairperson of the Board of Directors, and the election of Executive Officers for the following year.
SECTION 7: PROCEDURES
A quorum at membership meetings of the Association will consist of at least two thirds of the Board of Directors and 25 other members. Should quorum not be achieved, the meeting should be suspended for fifteen minutes and then reconvened. The present members will then constitute the quorum.
SECTION 8: SPECIAL MEETINGS OF THE GENERAL MEMBERSHIP
Special meetings of the Association will be held upon such occasions and at such a time, place, and date as the Chairperson of the Board of Directors may designate. A special meeting may also be called by a written petition signed by one-fifth of the dues-paying members.
SECTION 9: NOTICE OF MEETINGS
Notice for each regular and special meetings will be publicly posted,and disseminated, at least two weeks prior to the date of the meeting.Whenever possible reminders or initial notices will be provided in the School Newsletter and an Agenda of the proposed meeting communicated to all members.
ARTICLE III: BOARD OF DIRECTORS
SECTION 10: COMPOSITION Of THE BOARD OF DIRECTORS
A Board of Directors consisting of the elected Executive Officers of the Association (Chairperson, Vice-Chairperson, Secretary and Treasurer ), one Representative at large, and Two Teachers nominated ex-officio by the School Administration shall have the responsibility of managing the activities of the PTA on behalf of the General Membership and is authorized to determine all policies and activities of the Association in accordance with these By-Laws.
SECTION 11 : BOARD MEETINGS
a) Board meetings will be conducted on a monthly basis. The Chairperson shall determine the specific time, place and length of the scheduled Board Meetings. Four Board members (at least two of whom must also be Executive Officers) may also call for a special Board Meeting to deal with an emergency situation that cannot be delayed until the next regular meeting, provided that the other Board members are notified of the proposed meeting two days before the meeting date.
b) A quorum at all Board meetings will consist of at least two-thirds of the Board Members (vacancies excluded).
SECTION 12: RESPONSIBILITIES
All planning decisions regarding operations, budgets, projects and activities for the following School year should be made final during the summer months, and submitted for review to the School Administration not later than Labor Day.
SECTION 13: ELECTIONS
Executive Officers, and Representative at Large will be elected on an Annual basis, at the General Membership meeting in May. When more than one member runs for an office, the member receiving the most votes cast will be the new officer.
SECTION 14: TERM OF OFFICE
The term of elective office shall be one year: from June 1 to May 31 of the following year and shall be limited to not more than two consecutive (full or partial) terms as an Officer of the Board. No two Executive Offices will be held by the same person or members from the same family.
SECTION 15: EXECUTIVE OFFICER VACANCIES
In the event that an Executive Officer or Representative at Large position is vacant, a temporary successor may be appointed by the Chairperson to serve for the remainder of the term created by the vacancy and confirmed by the Board.
ARTICLE VI: RESPONSIBILITIES OF THE EXECUTIVE OFFICER
SECTION 16: RESPONSIBILITIES OF THE CHAIRPERSON
The Chairperson, as the Administrative Head of the Association shall:
a) chair all General Membership Meetings of the Association, and all meetings of the Board of Directors;
b) prepare annually a full and true statement of the Association affairs for presentation at the General Membership meeting in May;
c) call scheduled or unscheduled General Membership or Board meetings of the Association, as deemed necessary;
d) ensure that activities of the Association are planned and carried out in full consultation, with the School Administration.
SECTION 17: RESPONSIBILITIES OF THE VICE-CHAIRPERSON
The Vice-Chairperson will:
a) act as aide to the Chairperson, and whenever requested, perform the duties of the Chairperson;
b) oversee the activities of the Room-Mothers and/or Room-Fathers;
c) ensure (in conjunction with the Treasurer) that a financial statement is prepared at the end of the regular school year and also prepare a draft budget for consideration by the incoming Board of Directors.
SECTION 18: RESPONSIBILITIES OF THE SECRETARY
The Secretary of the Association will:
a) keep the minutes of both the General Membership and Board of Directors meetings;
b) provide all the notice and announcements to the members in accordance with the provisions of the By-Laws of the Association;
c) prepare all of the Association's correspondence.
SECTION 19: RESPONSIBILITIES OF THE TREASURER
The Treasurer will be responsible for controlling all funds, including the recording of all receipts and disbursements of the Association:
a) deposits: The Treasurer will deposit or cause to deposit in the name of the Association all monies or valuables in such bank, trust company or other depositories as selected, and authorized by the Board of Directors.
b) disbursements : Every disbursement of Association funds shall be by check, approved and signed by any two of the following Executive Officers: Chairperson, Vice-Chairperson and Treasurer.
c) Receipts : receipts for deposits or disbursements shall be properly annotated and recorded so that the Board of Directors has an updated account of the financial condition of the Association
d) financial report: The Treasurer will make a detailed written quarterly financial report to the Board and present the annual Financial Statement at the year-end General Membership meeting.
e) budget proposal: with the assistance of the Vice-Chairperson, the Treasurer will formulate and present a proposed annual budget to the Board of Directors for approval prior to the beginning of the school year, and subsequently revise it, as deemed necessary by the Board of Directors.
ARTICLE V: TERMINATION OF THE ASSOCIATION
SECTION 20: TERMINATION BY VOTE OF THE MEMBERS
At such time that the association decides by two-thirds or greater vote of the members to dissolve itself, the entire assets of the Association will be donated to The Hamasdegh Armenian School or its successor(s).
SECTION 21: TERMINATION BY OTHER THAN VOTE OF THE MEMBERS
In the event that the Association is terminated other than by a vote of its membership, the entire assets of the Association will be donated to the Hamasdegh Armenian School or its successor(s).
